Securities Auction for Divestment via FPTS

The Auction Service of FPTS helps customers plan and carry out necessary works to successfully divest from companies in accordance with the law.

With modern facilities and equipment and enthusiastic, experienced specialists, FPTS is able to help customers host divestment auctions right at FPTS Head Office, helping customers to proceed with less time and cost.

I. Advisory solution

  • Studying and collecting financial and non-financial information for determining the value of the company in which customers own shares;
  • Supporting customers to develop divestment plans and submit them to competent authorities for approval;
  • Preparing public equity offering documents and representing customers to work directly with the State Securities Commission to seek the offering approval (in case customers own shares in a public company);
  • Preparing auction-based offering documents: Writing the information disclosure on the auction-based share offering, auction announcements and forms;
  • Instructing customers to publish regulatory auction information disclosures on three consecutive issues of newspaper at least 20 days before the auction date.
  • Organizing the share auction under the law, ensuring publicity and efficiency of the auction:
    • Receiving deposits for share purchases from investors;
    • Receiving auction slips from investors;
    • Establishing the Auction Council under the law;
    • Organizing the auction on the set date;
    • Summarizing the auction result to deliver to customers;
    • Making an official announcement of the auction result to investors;
    • Collecting proceeds from share sales and transferring to customers (including fines from investors who fail to pay enough to buy the registered shares in the auction).

Securities Auction for Divestment via Stock Exchanges

The Share Auction Securities Auction via Stock Exchange Advisory of FPTS is exclusive for customer companies to launch the initial public offering (IPO), State-owned enterprises to divest from joint stock companies, and some other specific cases.

I. Advisory solution

  • Studying and collecting financial and non-financial information for determining the value of the company in which customers own shares;
  • Supporting customers to develop divestment plans and submit them to competent authorities for approval;
  • Preparing public equity offering documents and representing customers to work directly with the State Securities Commission to seek the offering approval (in case customers own shares in a public company);
  • Preparing auction-based offering documents: Writing the information disclosure on the share auction, announcements and forms;
  • Guiding customers to disclose information under the law;
  • Representing customers to work with the Stock Exchange on procedures relating to public auctions at the Stock Exchange.
