Shareholding Management Advisory and EzLink Solution

Shareholder management is one of the important activities in the Investor Relations activities of the companies. For public joint stock companies with shares listed/registered for trading at the Stock Exchanges, the management of the list of shareholders is under the authority of the Vietnam Securities Depository and Clearing Corporation (VSDC). For ordinary joint stock companies (those that are not public or have not registered their securities at VSDC), shareholder management can be conducted by the company itself or authorized to an organization carrying this service. FPTS provides shareholder management consulting services and the EzLink solution applicable to both types of customers mentioned above. However, for public joint stock companies with shares listed/registered for trading at the Stock Exchanges, FPTS only provides the service of managing the list of unregistered shareholders.

Using shareholder management services and the EzLink solution supports companies with the following benefits:

• EzLink strengthens linkage and interaction between the issuer and its shareholders via the emailing and SMS notification service where every shareholder will get noticed whenever the issuer needs to. Services

* Shareholding management for depository-unregistered companies:

• Work on behalf of customers to carry out share transfer procedures;
• Update, manage and monitor shareholder information and shareholder list, provide shareholder upon the request of customers;
• Provide an access account system for shareholders and issuers to look up and manage their information.
• Get customers’ authorization on exercising rights for shareholders including: send invitations to the General Meeting of Shareholders, distribute cash dividends, print/issue/adjust share ownership certificates for shareholders and other rights as stipulated by regulations.

* Shareholding management for depository-registered companies:

• Manage the list of shareholders subject to restricted share transfer (if any) and advise on the order of procedures for releasing restricted shares sent to the Vietnam Securities Depository (VSDC);
• Get customers’ authorization on shareholder information changes which will be submitted to the VSDC;
• Get customers’ authorization on exersing rights for shareholders including: send invitations to the General Meeting of Shareholders, distribute cash dividends, print/issue/adjust share ownership certificates for shareholders and other rights as stipulated by regulations;
• Support shareholders with share transfer procedures related to gifts, inheritances and other transactions that must be processed through VSDC, which cannot be conducted via the stock exchange trading system.
